On May 2009, advocate Daniela Ben-Shoa Amiran, has completed a Master of Law in Transnational Business Practice with focus on commercial, corporate, federal securities regulation, business planning and international business transaction. On 2003, completed a Bachelor of Law degree, in 2005 participated in a Foreign Lawyer Trainee program at a leading US Law Firm. on December 2004 was admitted as a member of the Israeli Bar Association.

Advocate Daniela Ben-Shoa Amiran specializes in representing investors, entrepreneurs, public/private companies operating domestically and internationally in complex and simple commercial transactions, in both Hebrew and English, ranging from small- and large-scale transactions of up to tens of millions of dollars. preparing, advising, reviewing and editing varies commercial agreements from the negotiates, due diligence stage to the “Closing” stage. Preparation of complex legal memos, various corporate governance documents for private and public companies including advising on all regulatory requirements of the Israel Securities and the stock exchange authority's and companies register.

Advocates, as an attorney in the Corporate, Commercial and Securities Department, her focus was mergers and acquisitions, reorganization, transactions creditors/shareholders' settlements.  Counseling in various regulatory requirements of the Securities and Exchange Authority including quarterly and annual's reports, tender offers, controlling shareholders transactions, private placement transactions and more. and assisted in international commercial litigation cases.

She has engaged in preparing commercial transactions of private and public corporations ranging from $10M-$50M including the creditors settlements of Aura Investments Ltd., and Orckit Communications Ltd. and assisted in representing of Delek Real Estate Ltd., short-term bondholders.

At Afik Turgeman Advocates and Notaries - as an attorney in the Commercial, Corporate and M&A Department. she was engaged in rendered ongoing legal, to investors, private companies operating domestically and internationally prepared, reviewed and commented on various complex commercial transaction including, share/asset purchase, investment, loan, mergers and acquisitions, founders, partnership agreements and all legal documentations required to carry out those transactions ranging from $0.2M - $10M, from the negotiates, due diligence stage to the “Closing” stage.

There she has completed due diligence, prepared and reviewed the necessary documents of Vitec Multimedia purchase transactions including the asset purchase agreement of Optibase Technologies Ltd., the asset purchase agreement of Focus Enhancements, Inc., and the share purchase agreement of COMO Computer & Motion GmbH.

There she has completed due diligence and assisted in writing and reviewing the necessary documents of: $5M estimated IPO target, $3M private placement investments, 45% private purchase of public company and various investments transactions.
